Notice of Proposed Amendments to CNPA Bylaws

Pursuant to Article XIV of the CNPA Bylaws, notice is given that members will vote on two proposed bylaw changes at CNPA’s Annual Business Meeting on Friday, April 13, 2018, at The Lodge at Sonoma Renaissance Resort & Spa, Sonoma, California, and by electronic ballot beginning April 5 at noon and ending at 2 p.m. on April 12.

Changing Nominating Committee Chair. This proposal suggested by the 2017/18 Nominating Committee would change the chair of the Nominating Committee from the Immediate Past-President to the V.P., Secretary/Treasurer. The Committee believes the Secretary/Treasurer would be in a better position to lead the Nominating Committee process because he or she would be working more closely with the individuals nominated by the committee and likely elected to the board as he or she moves through the chairs and becomes President.

Making Daily/Weekly board of directors balance a goal instead of a bylaw requirement. Also suggested by the Nominating Committee, this proposed change would delete the bylaw mandate that the Board of Directors be comprised of an equal number of daily newspaper members and weekly newspaper members. The change would instead make equal daily/weekly representation on the board a goal of the Nominating Committee. The bylaws currently require the Nominating Committee to make reasonable efforts to include nominees who are women and members of racial and ethnic minorities and make efforts to include nominees that are representative of all types of members, including newspaper groups, family-owned newspapers and newspapers from a variety of geographical areas and with a variety of circulations. The committee recommends this change after determining that within the membership of CNPA there are fewer potential board candidates representing daily newspapers than weekly newspapers. Prior Nominating Committees encountered the same challenge.

The Process. CNPA members will vote on the proposed amendment to the bylaws at CNPA’s Annual Business Meeting scheduled to occur at 8:30 a.m. on April 13, 2018 at the CNPA Press Summit at The Lodge at Sonoma Renaissance Resort & Spa, Sonoma, California. Members unable to attend the Summit will be able to vote by electronic ballot beginning April 5 and ending at 2 p.m. on April 12. The details regarding how to cast an electronic ballot will be sent to members soon. To become effective, each proposed bylaw change must be approved by a majority vote of the members who participate in the vote.
